These Terms apply when visiting www.healthwix.com and using the HealthWix Mobile App (together hereinafter referred to as “HealthWix”), which is owned by HEALTHNEST, LLC (hereinafter referred to as “HEALTHNEST”).

HealthWix is an application designed to help you create and maintain an accurate health profile, find contact information for healthcare providers and healthcare facilities, and organize them into “My Care Team” or “My Facilities List.”

Once you have registered an account, you may take and store notes associated with your providers or facilities. With HealthWix, you may keep your health history up to date with information such as allergies, medications, and medical or surgical problems. You may also create a health summary document and share it electronically.

HealthWix is not a healthcare provider and does not provide medical diagnosis, treatment, or medical advice.

HealthWix has no control over and does not guarantee the existence, quality, accuracy, or safety of any services, providers, facilities, or products listed by users or third parties.

When using HealthWix, you agree that you will not:

• Post, list, or upload content or items that HealthWix determines to be inappropriate;
• Violate any laws, third-party rights, or company policies; or
• Transfer your account or user ID to another person.

If we believe or discover that you are wrongfully using HealthWix, we may, at our sole discretion, take steps to stop such abuse by limiting, suspending, or terminating your user account or access to our services. We may also take technical and/or legal steps to prevent further misuse.

HEALTHNEST reserves the right to refuse or terminate services to anyone for any reason at any time, to the extent permitted by applicable law.

HEALTHNEST reserves the right to report any activity that we suspect violates any law or regulation to appropriate law enforcement agencies, regulators, or other appropriate third parties.

In such circumstances, HEALTHNEST may access and disclose information as legally required or permitted, including, but not limited to, user contact details, IP address, traffic information, usage history, and posted content.

You are solely responsible for ensuring that all information provided in your profile is accurate and kept up to date.

Your password may be used only to access HealthWix services. You are solely responsible for maintaining the confidentiality of your password.

You may not disclose your password to any third party and are responsible for any activity conducted under your account. If your password is compromised, you must immediately change it and notify HealthWix if appropriate.

You agree to receive calls, including autodialed and/or prerecorded message calls, from HealthWix at any telephone numbers, including mobile numbers, that you have provided to HealthWix or that HealthWix has obtained from third parties where permitted by applicable law.

If the number is a mobile number, you consent to receive SMS or text messages. Standard message and data rates may apply.

HealthWix may contact you for purposes related to your account, your use of our services, customer service, security, administrative matters, or for marketing, promotional, or informational reasons, as permitted by law.

You may opt out of marketing communications as provided in the applicable communication or as otherwise permitted by law. Opting out of marketing communications will not prevent us from sending service-related or legally required communications.

You agree to indemnify, defend, and hold harmless HEALTHNEST and its officers, directors, members, managers, shareholders, employees, successors, and assigns from and against all losses, liabilities, claims, damages, costs, including reasonable attorneys’ fees, and expenses arising out of or resulting from your use of HealthWix, your violation of these Terms, or your negligence or misconduct.

Your obligation to indemnify, defend, and hold harmless HEALTHNEST shall survive termination of these Terms.

We strive to keep our services safe, secure, and reliable, but we cannot guarantee continuous operation or error-free performance. You agree that you use our services at your own risk and that they are provided “AS IS” and “AS AVAILABLE.”

To the fullest extent permitted by law, HEALTHNEST disclaims all express or implied warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

HEALTHNEST and its affiliates, officers, employees, agents, contractors, and service providers shall not be liable for any damages or losses, including loss of profits, goodwill, or reputation, or any indirect, incidental, special, consequential, exemplary, or punitive damages resulting from:

• Your use of or inability to use our services;
• Delays or disruptions in service;
• Viruses, malware, or other harmful components obtained through our services;
• Glitches, bugs, errors, or inaccuracies;
• Damage to your hardware, device, or data; or
• Suspension or termination of your account.

HEALTHNEST shall not be liable for failure or deficiency in service performance due to maintenance, technical failure, or events beyond its reasonable control, including natural disasters, Internet outages, labor disputes, cyberattacks, governmental actions, or war.

All content available through HealthWix is for informational and educational purposes only and is not a substitute for professional medical judgment, diagnosis, or treatment.

HEALTHNEST does not recommend or endorse any specific drugs, physicians, healthcare providers, products, or treatments. Your reliance upon any information obtained through HealthWix is solely at your own risk.

HEALTHNEST is not responsible for the accuracy, completeness, or reliability of any information provided by you, other users, or third parties, including healthcare providers, facilities, advertisers, or other service providers.

If you have a medical emergency, call 911 or contact an appropriate emergency medical service. Do not rely on HealthWix for emergency medical care.

HEALTHNEST complies with applicable privacy and data protection laws, including, where applicable, the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) and the Health Information Technology for Economic and Clinical Health Act (“HITECH”).

HEALTHNEST maintains safeguards designed to protect the confidentiality and security of Protected Health Information (“PHI”) transmitted or made available through HealthWix, as required by applicable law.

The specific privacy practices applicable to HealthWix are described in the HealthWix Privacy Policy.

These Terms of Use are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law provisions.

These Terms of Use, together with the HealthWix Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and HEALTHNEST regarding your use of HealthWix.

Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship between the parties.

Nothing expressed or implied herein is intended to confer any rights or remedies on any third party, except as expressly stated in these Terms.

If any provision of these Terms is deemed unlawful, void, or unenforceable, that provision shall be severed or limited to the minimum extent necessary without affecting the validity and enforceability of the remaining provisions.

HEALTHNEST makes no representation that all products, services, or materials provided through HealthWix are appropriate or available in all locations.

Accessing HealthWix from territories where its content or services are illegal is prohibited.
